Overview
Our client seeking a Tax Consultant with deep exposure to private markets clients, including Private Equity, Venture Capital, and alternative investment funds. This role will support fund managers, portfolio companies, and high‑net‑worth investors on complex U.S. tax matters across fund formation, operations, transactions, and exits. The ideal candidate combines strong technical tax knowledge with a practical, client‑service mindset and experience operating in sophisticated investment environments.
Key Responsibilities
Fund & Investment Structuring
Advise on U.S. federal and state tax considerations for private equity, venture capital, and private credit funds, including domestic and offshore structures
Support fund formation and ongoing tax structuring for partnerships, LLCs, blockers, and SPVs
Analyze tax implications of capital calls, distributions, carried interest, management fees, and GP economics
Assist with structuring investments for tax‑exempt and non‑U.S. investors, including UBTI/ECI considerations
Compliance & Reporting
Prepare or review partnership tax returns (Forms 1065), K‑1s, and related disclosures for investment funds and portfolio entities
Support compliance related to TEFRA/BBA partnership audit rules, withholding requirements, and state filings
Assist with investor reporting and tax communications, including complex allocation issues
Coordinate with fund administrators, auditors, and internal teams to ensure accurate and timely filings
Transactions & Portfolio Company Support
Provide tax diligence and structuring support for acquisitions, dispositions, recapitalizations, and financings
Analyze tax implications of entity conversions, debt restructurings, and exit transactions
Advise portfolio companies on federal and state tax matters, including entity structuring and operational tax issues
Research & Advisory
Research and interpret tax law related to partnership taxation, carried interest, Section 704(b), 704(c), 1061, and 163(j)
Prepare technical memoranda and client‑ready deliverables summarizing complex tax issues
Monitor legislative and regulatory developments impacting private markets and investment funds
Client & Stakeholder Management
Serve as a trusted advisor to fund managers, CFOs, and finance teams
Participate in client meetings and contribute to proactive planning discussions
Collaborate with legal, accounting, and investment professionals to deliver integrated solutions
Qualifications
Required
Bachelor’s degree in Accounting, Finance, Taxation, or related field
3–7+ years of experience in public accounting, boutique tax advisory, or investment management, with a focus on private markets
Strong knowledge of partnership taxation and pass‑through entities
Experience working with Private Equity and/or Venture Capital clients
CPA and/or Master’s in Taxation strongly preferred
Preferred
Experience with alternative investment fund structures (onshore/offshore)
Familiarity with carried interest rules, blocking vehicles, and cross‑border investment considerations
Prior exposure to fund administrators and complex investor bases
Advanced Excel skills and experience with tax software platforms
