ABOUT THE FIRM

Our client is a lower middle market private equity firm headquartered in Coral Gables, Florida. Launched in 2026, the Firm is partnering with founder and family-owned businesses through its first institutional fund with a $150 million target. The Firm held its first fund close within four months of launch and is focused on investing across the U.S. lower middle market.

This role is the Firm's first dedicated in-house finance leader. The VP of Finance will manage the Firm's outsourced providers and over time develop additional in-house resources. The VP of Finance will also serve as the Firm's Chief Compliance Officer.

THE ROLE

Our client is seeking a strategic and hands-on VP of Finance to lead the Firm's finance function, serve as its Chief Compliance Officer, and act as a key partner to the Founder & Managing Partner. The Firm intends for this team member to ultimately grow into the Firm's CFO.

This individual will own the finance organization, from strategy, capital planning, and investor support to day-to-day accounting, reporting, compliance, and operations, and will play a central role in shaping the Firm's financial infrastructure and growth trajectory across the Management Company and Fund entities.

RESPONSIBILITIES

Strategic Leadership & Partnership

• Serve as a trusted advisor to the Managing Partner on financial strategy, capital allocation, and key business decisions.

• Build and present financial insights and performance to senior stakeholders and investors.

• Act as a cross-functional partner across finance, operations, and investments.

• Manage and partner with the Firm's outside partners, including its current third-party outsourced CFO, management company support, and compliance teams.

• Participate in and support the Firm's fundraising efforts from Fund I and beyond.

• Build, lead, and mentor the finance function as it is built over time.

Financial Reporting & Control

• Complete the monthly, quarterly, and annual close processes across the Management Company and Fund entities, including investor reporting.

• Ensure the accuracy, integrity, and timeliness of all financial reporting in accordance with U.S. GAAP.

• Manage all core accounting functions, including transactional accounting, payroll, and expense and fund-expense allocation oversight.

• Own audit and tax processes in partnership with external advisors, including fund and management company partnership tax, Schedule K-1 preparation and review, blocker-entity tax, state filings and payments, quarterly estimates, tax notices, FATCA/CRS reporting considerations, and UBTI/ECI and withholding management for tax-exempt and non-U.S. investors.

• Own the Fund's quarterly valuation process and fair-value framework (ASC 820), maintaining valuation policies, preparing valuation materials for leadership and valuation committees, and supporting annual audits.

FP&A & Strategic Finance

• Own budgeting, forecasting, KPI development, and cash planning, including Management Company budgeting and runway analysis, as well as fund-level cash forecasting for capital calls and distributions.

• Build financial models and analyses to support strategic decision-making, scenario planning, and capital deployment.

• Partner with the investment team to track fund performance, cash flows, and investment activity, and maintain investment and LP-level reporting.

Treasury, Operations & Fund Administration

• Oversee treasury operations, including capital calls, distributions, LP reporting, and cash management, in coordination with the fund administrator.

• Own and manage fund administrator and external advisor relationships, ensuring the quality and timeliness of deliverables.

• Drive process improvements and enhance the scalability of financial operations as the Firm grows.

Compliance & Risk

• Serve as the Firm's Chief Compliance Officer, owning the SEC / Investment Advisers Act compliance program, including Form ADV, compliance manuals, code of ethics, personal trading policies, and political contribution policies.

• Oversee AML / KYC, annual compliance reviews, regulatory filings, and examinations while coordinating with outsourced compliance partners.

• Manage conflicts, expense allocations, and governing document compliance in partnership with legal counsel and the Managing Partner.

REQUIRED QUALIFICATIONS

• Bachelor's degree in Accounting, Finance, or a related field.

• 10+ years of progressive experience, including 5+ years in a senior finance or accounting leadership role.

• Private equity fund accounting and administration experience, including capital calls, distributions, waterfalls, carried interest, and LP reporting.

• Experience working with or overseeing a third-party fund administrator.

• Deep knowledge of U.S. GAAP and the ability to research and apply technical accounting guidance.

• Proven track record in financial reporting, FP&A, and KPI development.

• Hands-on experience with partnership and fund taxation, including K-1s, blocker-entity tax, investor tax reporting, and coordination of federal and state filings.

• Advanced Excel skills and strong proficiency with financial systems and data tools.

• Experience managing external partners across audit, tax, banking, and insurance.

PREFERRED QUALIFICATIONS

• Background in public accounting (Big 4 or other top-tier firms).

• CPA, MBA, or advanced degree preferred.

• Experience at an emerging manager or first-time fund, helping build financial infrastructure and processes from the ground up.

• Experience in private equity, alternative investments, or investment management.

• Compliance experience, including SEC / RIA programs, Form ADV, Code of Ethics, and AML/KYC.

• Exposure to investor relations and LP reporting.

• Experience building or overseeing offshore / nearshore teams.
